Please read these Terms and Conditions ("Terms") carefully before using the services of Web-X Digital Solutions ("us", "we", or "our"). Your access to and use of our services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all clients, visitors, and others who access or use our services.
Web-X Digital Solutions provides a range of digital services, including but not limited to:
The specific scope, deliverables, timeline, and costs for any project will be detailed in a formal Project Proposal or Quote, which will be agreed upon by both parties before work commences.
A non-refundable deposit of 50% of the total project cost is required before any work begins. The remaining 50% is due upon completion of the project, prior to the final delivery of the website or service.
All fees are quoted in South African Rand (ZAR) unless otherwise specified. Payments are to be made via the methods stipulated on our invoices. Late payments may incur additional interest charges.
Upon receipt of the final payment, the Client is granted full ownership of the final, delivered website design, and any visual or written content specifically created for the project.
We (Web-X Digital Solutions) retain ownership of all underlying source code, libraries, tools, processes, and pre-existing materials used to create the project. The Client is granted a non-exclusive, perpetual license to use this underlying technology for the purpose of operating the website.
We reserve the right to showcase the completed project in our portfolio, social media, and other marketing materials.
To provide cutting-edge, efficient services, we utilize various AI tools for content generation, branding, and code assistance.
The Client agrees to provide all necessary content (text, images, brand assets), feedback, and approvals in a timely manner. Delays in providing these materials may result in project timeline extensions.
The Client is responsible for ensuring they have the legal rights to use any content they provide to us.
We will treat all information provided by the Client as confidential and will not disclose it to any third party without the Client's express permission, except where required by law.
In no event shall Web-X Digital Solutions be liable for any lost profits, data loss, or any indirect, special, incidental, or consequential damages arising out of or in connection with our services or these Terms.
Our total liability to the Client for any and all claims shall not exceed the total amount of fees paid by the Client to us for the specific project in question.
Either party may terminate a project by providing written notice to the other. If the Client terminates the project, the initial 50% deposit is non-refundable. If work completed at the time of termination exceeds the deposit amount, the Client will be billed for the additional work.
If we terminate the project for reasons other than the Client's breach of these Terms, a partial refund may be issued based on the work completed.
These Terms shall be governed and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes. By continuing to use our services after those revisions become effective, you agree to be bound by the revised terms.
